The plaintiffs seek to ensure that shareholders receive what they deem an appropriate share of the anticipated synergy benefits from the deal.

A combined entity would command a market capitalization of approximately $7.8 billion and projects it could boost its annual EPS growth rate to between 5% and 7% through enhanced scale.
