A significant shareholder has intensified pressure on financial technology provider WEX, moving beyond a previous “vote-no” initiative to threaten direct board challenges. Activist investment group Impactive Capital, which holds a substantial 7% stake in the company, has announced it will nominate at least four independent directors for the 2026 annual meeting unless management addresses its strategic concerns.

The core dispute centers on strategic direction. Impactive Capital alleges that WEX leadership has dismissed value-creating ideas, most notably a potential separation of the company’s three main business divisions: Mobility, Corporate Payments, and Benefits Solutions.
