Intevac Acquisition Finalized as Seagate Completes Takeover

The corporate journey of Intevac reached its conclusion in early 2025 when Seagate Technology successfully acquired the company. Following the completion of the acquisition process, Intevac shares were suspended from trading and subsequently delisted from the Nasdaq exchange in March 2025, marking the end of its run as a publicly-traded entity.

Acquisition Terms and Shareholder Compensation

Seagate Technology structured a comprehensive acquisition package valued at approximately $119 million. Shareholders received $4.00 per share in the buyout arrangement, representing a substantial 45 percent premium over Intevac’s stock price from December 2024. When accounting for both special dividend distributions and regular quarterly dividend payments, investors ultimately realized total compensation of $4.102 per share.

The transaction reached its decisive moment on March 28, 2025, when nearly 88 percent of Intevac’s outstanding shares voted in favor of the acquisition proposal. The process concluded just three days later on March 31, when trading officially ceased and the company’s shares were removed from the Nasdaq listing.

Leadership Transition and Future Outlook

With the acquisition finalized, Seagate implemented comprehensive leadership changes throughout the former Intevac organization. The technology firm appointed James C. Lee to the position of President and named Johnny Choi as Secretary, completely replacing the previous management team.

For former Intevac investors, this transaction signifies the definitive conclusion of their direct investment in the company. Those interested in monitoring the performance of the former Intevac business units must now turn their attention to Seagate Technology Holdings’ quarterly financial reports and corporate announcements for relevant updates.
