FS KKR Capital Faces Mounting Headwinds as Dividend Cut and Legal Probe Rattle Investors

FS KKR Capital Corp. is navigating a perfect storm of disappointing financial results and emerging legal challenges. A significant reduction to its dividend, followed by a wave of analyst downgrades, has shaken confidence. Investor anxiety is further compounded by a newly announced investigation into the company’s conduct, raising fresh concerns over the stability of its credit portfolio.

Dividend Reduction and Portfolio Strain Trigger Sell-Off

The immediate catalyst for the recent downturn was the business development company’s fourth-quarter earnings report. The data revealed underlying stress, with approximately 3.4% of the portfolio—representing an estimated $440 million in value—classified as non-accrual at year-end. In a direct response to this portfolio deterioration, management slashed the regular quarterly dividend in late February from $0.70 to $0.48 per share.

The market’s reaction was swift and severe. Since the start of the year, the share price has plummeted by more than 26%. Closing at €9.43 on Tuesday, the stock is now trading just above its current 52-week low.

Wall Street Analysts Slash Price Targets

On March 3, major investment banks issued their responses to the weak portfolio metrics. Analysts at B. Riley and Wells Fargo dramatically reduced their price targets to $11.00 each. This move was part of a broader consensus, with firms including JPMorgan, RBC Capital, and Keefe Bruyette also significantly lowering their expectations. Market experts primarily cite persistent pressure within the company’s specific investment holdings as the core reason for their bearish revisions.

Should investors sell immediately? Or is it worth buying FS KKR Capital?

Adding a substantial layer of uncertainty, the law firm Pomerantz LLP has initiated an investigation into FS KKR Capital over allegations of securities fraud. This development has injected additional nervousness into a shareholder base already unsettled by the fundamental decline in the company’s key metrics.

Broader Sector Challenges Come into Focus

The troubles at FS KKR Capital raise a critical question: are they an isolated issue or a warning sign for the wider industry? These events are unfolding against a backdrop of heightened scrutiny for the entire U.S. private credit market, which is estimated to be worth up to $3 trillion.

Across the sector, default rates are climbing. Simultaneously, redemption requests at major credit firms saw a massive increase in the fourth quarter of 2025. The coming months will reveal the extent to which rising interest rates and an economic cooldown will force further portfolio adjustments throughout the private credit industry.
