The proposed acquisition of Mountain Commerce by Home BancShares has entered a new phase, marked by increased transparency. In a move to address shareholder inquiries and mitigate regulatory risks, Home BancShares has released a comprehensive set of supplementary details regarding the merger. This disclosure brings the transaction, slated for completion in the first half of 2026, one step closer to finalization.

Addressing Shareholder Queries Head-On

Monday’s information release is a direct response to specific requests from investors. The additional documentation provides clarity on several key areas, including standstill agreements, in-depth valuation methodologies, and the projected financial benefits for Home BancShares post-merger. This proactive step aims to furnish shareholders with a complete informational foundation ahead of their crucial vote, thereby seeking to avoid potential procedural delays that could arise from unanswered questions.

The publication underscores a clear commitment from both institutions to proceed with the deal as planned while closing any legal or informational gaps. The unified push forward may help alleviate lingering investor concerns as the vote approaches.

Deal Terms and Strategic Rationale

Under the terms agreed upon in December 2025, Mountain Commerce shareholders will receive 0.850 shares of Home BancShares for each share they own. The strategic driver for Home BancShares is a significant expansion into Tennessee’s growth markets, with a particular focus on establishing a stronger footprint in the Nashville and Knoxville metropolitan regions.

In a concurrent development, Mountain Commerce distributed its regular quarterly dividend of $0.07 per share on Monday, even as integration planning continues. The boards of directors for both companies have already given their unanimous approval for the merger.

The transaction’s completion remains contingent upon two final hurdles: regulatory approval and the definitive consent of the shareholders. Market participants will gain further insight into Mountain Commerce’s operational health prior to the merger when the institution releases its next quarterly figures on April 27, 2026.
