Arizona Sonoran Shareholders Set for Major Premium in Hudbay Merger

A definitive agreement has been reached for the combination of Arizona Sonoran Copper Company and Hudbay Minerals, creating a new powerhouse in the North American copper sector. The all-stock transaction, valued at approximately $1.48 billion, delivers a substantial premium to Arizona Sonoran’s investors.

Transaction Terms and Shareholder Impact

Under the agreed terms, shareholders of Arizona Sonoran will receive 0.242 shares of Hudbay Minerals for each share they own. This exchange ratio implies a significant 36% premium based on the recent valuation of Arizona Sonoran. Upon completion, existing Hudbay shareholders are expected to own about 89% of the combined entity, with the former Arizona Sonoran shareholder base holding the remaining 11%.

Creating a Leading Copper District

The strategic rationale centers on consolidating two major regional assets: Hudbay’s Copper World project and Arizona Sonoran’s Cactus project. Market analysts anticipate that the integrated operation will become North America’s third-largest copper district. The merged company is projected to achieve an annual production capacity ranging from 250,000 to 350,000 tonnes.

The market reacted positively to the announcement. Arizona Sonoran’s stock advanced 10.24% to trade at €4.52. Despite this strong single-day gain, the share price remains approximately 18% below its 52-week high recorded in March.

A clear timeline is now in place, with the companies targeting a formal closing of the transaction in May 2026, pending shareholder approval. Investor attention will also focus on May 13, when Arizona Sonoran is scheduled to release its latest quarterly results. This update is expected to provide further details on operational progress at the Cactus project.
