DeFi Technologies Secures Major Funding and Expands into Canadian Stablecoin Market

DeFi Technologies has announced two significant strategic moves that combine to strengthen its financial position and market reach. The company successfully closed a $100 million capital raise while simultaneously revealing a strategic investment in Canada’s burgeoning stablecoin sector.

Strategic Investment and Market Positioning

In a dual-pronged announcement, DeFi Technologies revealed it has taken a strategic stake in Canada Stablecorp Inc., positioning the company to capitalize on the emerging Canadian dollar-denominated stablecoin market. This expansion comes alongside a substantial capital infusion that demonstrates strong institutional confidence.

The timing of this market entry is particularly strategic, following the recent implementation of Canada’s Retail Payments Activities Act. This legislation establishes a clear regulatory framework for CAD-based stablecoins, creating opportunities in the Canada-US corridor where annual trade volume reaches approximately one trillion Canadian dollars.

$100 Million Capital Raise Details

The company placed a registered direct offering that was oversubscribed, raising total proceeds of $100 million. Galaxy Digital led the financing round, which closed yesterday with transaction completion expected today.

The offering structure involved the sale of 45.66 million common shares along with warrants to purchase up to 34.25 million additional shares. Each unit was priced at $2.19, with the warrants carrying an exercise price of $2.63 per share – representing a 120% premium to the offering price. These warrants are immediately exercisable and remain valid for a three-year period.

Proceeds from the financing are designated for general corporate purposes, including working capital requirements, and will support the company’s expanding operations within the decentralized finance ecosystem.

Market Response and Strategic Implications

Following the announcement, DeFi Technologies shares declined 16% in pre-market trading to exactly $2.19 – matching the price of the new share offering. This market reaction is characteristic of dilutive capital raises, as the issuance of 45.66 million new shares represents meaningful dilution for existing shareholders.

However, the oversubscribed nature of the offering and Galaxy Digital’s leadership role signal robust institutional support. The warrant structure, with its substantial premium, indicates investor expectations of significant future value appreciation.

Expanding DeFi Ecosystem Integration

The partnership with Stablecorp will focus on three key operational areas:
* Product development through subsidiary Valour
* Liquidity provision via Stillman Digital
* Advanced security implementation through collaboration with BTQ Technologies on a post-quantum security roadmap

This strategic positioning builds on DeFi Technologies’ recent strong financial performance, including Q2 2025 results that showed adjusted revenue of $32.1 million and EBITDA of $21.6 million. With nearly $1 billion in assets under management and expanding regulatory approvals in markets including Kenya and Turkey, the company continues to execute an aggressive growth strategy that bridges traditional finance with decentralized finance solutions.

Today’s announcements represent a comprehensive approach to growth, combining immediate capital strengthening with long-term positioning in the digital payments landscape.
