FedEx Sets Stage for Major Freight Division Spinoff

FedEx is advancing plans to separate its lucrative freight business through a strategic corporate restructuring. The logistics conglomerate has taken concrete financial steps toward what could become one of the most significant public listings in the coming year, raising important considerations for shareholders.

Strategic Financial Preparations Underway

The company has modified its credit facilities totaling $3.5 billion, marking a pivotal move in its plan to spin off FedEx Freight by June 2026. This financial maneuver is designed to facilitate the creation of a new publicly-traded entity, temporarily referred to as “Freight SpinCo,” while ensuring adequate corporate liquidity throughout the complex restructuring process.

Market analysts at Citi have evaluated the standalone value of FedEx Freight at an impressive $30 to $35 billion, highlighting the substantial worth of this business segment. The separation strategy aims to allow both entities to pursue focused growth trajectories—the core express and parcel delivery operations can address their specific market challenges, while the independent freight company can leverage its strong position in the Less-Than-Truckload (LTL) sector.

Operational Strength and Market Position

FedEx Freight’s operational metrics demonstrate a robust business foundation. The division generated $8.89 billion in revenue, maintains 355 service centers across its network, and processes approximately 90,000 shipments daily. Particularly noteworthy are the operating margins of 20% sustained over the past two years, indicating a highly profitable operational framework.
