MicroStrategy’s European Debut Exceeds Capital Raising Expectations

In a strategic move that captured market attention, MicroStrategy has successfully completed its inaugural foray into European capital markets. The offering, which concluded on November 13, 2025, generated €620 million ($715.1 million), substantially surpassing the initial €350 million target. This 77 percent oversubscription demonstrates significant international investor confidence in the company’s distinctive financial approach.

Capital Market Success and Allocation

The transaction involved the placement of 7.75 million Series A STRE preferred shares priced at €80 each. After accounting for associated fees, MicroStrategy secured net proceeds of approximately €608.8 million. The company has explicitly designated these funds for additional Bitcoin acquisitions. A syndicate of prominent financial institutions, including Barclays, Morgan Stanley, and TD Securities, facilitated the offering.

This successful capital raise follows closely on the heels of impressive third-quarter results announced October 30, 2025. The company reported earnings of $8.42 per share, dramatically exceeding analyst projections of a $0.11 per share loss. Revenue performance also beat expectations, reaching $128.7 million—nearly ten percent above forecasts.

Bitcoin Holdings Drive Extraordinary Performance

MicroStrategy’s operational results showed remarkable transformation, swinging to a $3.9 billion profit from the prior year’s $432.6 million loss. This dramatic improvement primarily stemmed from $3.9 billion in unrealized gains on the company’s substantial Bitcoin portfolio.

As of October 26, 2025, the firm’s treasury holds 640,808 Bitcoin with a market valuation of $70.9 billion. The average acquisition cost per Bitcoin stands at $74,032, representing significant unrealized appreciation.

* Year-to-date Bitcoin returns: 26 percent
* Quarterly realized and unrealized Bitcoin gains: $12.8 billion
* Full-year 2025 projections: $34 billion operational income, $80 earnings per share
* Underlying Bitcoin price assumption: $150,000 by year-end

Preferred Share Structure and Investor Protections

The newly issued STRE preferred shares offer investors a 10 percent annual dividend based on the €100 par value, with quarterly payments commencing December 31, 2025. The structure includes protective provisions: delayed dividend payments accrue interest at 11 percent initially, escalating quarterly by one percentage point to a maximum of 18 percent.

Investors benefit from substantial safeguards, including redemption rights at par value plus accumulated dividends during fundamental corporate changes. The liquidation preference adjusts daily according to market prices. MicroStrategy retains early redemption options if outstanding shares fall below 25 percent of the original issue or for tax considerations. The company has further committed to seeking alternative financing if dividend deferrals occur.

Strategic Positioning Amid Market Volatility

Despite robust quarterly performance, MicroStrategy’s common stock has experienced considerable price fluctuations. From its November 2024 peak of €450, shares declined over 50 percent, mirroring Bitcoin’s retreat from above $100,000.

The company’s multiple preferred share series (STRF, STRK, STRD, STRC, STRE) provide a strategic mechanism for continued Bitcoin accumulation without substantial dilution to common shareholders. The STRE issuance continues a pattern of successful capital initiatives, following the STRC series that raised $4.2 billion earlier in 2025.

With approximately 3.1 percent of all Bitcoin in its portfolio, MicroStrategy has established itself as the world’s largest publicly-traded Bitcoin custodian. Market participants await the next quarterly report expected in early February 2026, which will reveal whether the company achieves its ambitious annual targets and if its European capital market strategy inspires emulation.
