Electric vehicle manufacturer Proterra Inc. has agreed to a substantial $29 million settlement with investors, marking a significant development in its ongoing Chapter 11 bankruptcy process. The agreement, finalized on September 29, 2025, resolves allegations that the company disseminated misleading information about financial risks and operational challenges following its 2021 SPAC merger.

Bankruptcy Timeline and Market Consequences

The company’s financial difficulties culminated in August 2023 when Proterra filed for Chapter 11 protection, citing severe liquidity constraints and operational setbacks. This triggered immediate market consequences, with the Nasdaq exchange suspending trading of Proterra shares effective October 2, 2023. Since that date, the company’s stock has been relegated to over-the-counter markets, where it trades with the “Q” designation indicating financial distress.

The multimillion-dollar settlement addresses lawsuits filed by investors who purchased Proterra securities following the company’s special purpose acquisition company merger. Central to the litigation were claims regarding the accuracy of the company’s public statements about its financial condition and manufacturing capabilities within the competitive electric mobility sector. Specific concerns involved alleged failures to disclose supply chain disruptions, production delays, and expensive design flaws that impacted operations.
