Nebius Beats the Street by a Mile — But the Bill for Hypergrowth Keeps Growing

The gap between expectation and delivery rarely gets wider than this. Nebius reported a second-quarter loss of just $0.12 per share against a consensus forecast of $0.67 — a miss in the right direction so large it forces a rethink of how the market has been pricing the AI infrastructure group. Revenue, meanwhile, surged 454% to $582.3 million, with the AI cloud segment growing 514% and now accounting for 98% of total turnover.

Those headline numbers tell only part of the operational story. The company swung from an operating loss of $21 million in the year-ago quarter to positive adjusted EBITDA of $236.2 million. Management also confirmed its 2026 annual guidance, signaling confidence even as construction headwinds at its Vineland, New Jersey facility continue to attract scrutiny.

Demand Is Real — and Priced Accordingly

The most telling evidence of genuine customer appetite came through two channels. Nebius closed four AI cloud contracts during the quarter, each with an average total value exceeding $1 billion. It also held its first capacity auction, securing prices for Blackwell-generation compute that came in 15% above anything the company had previously commanded. That pricing power, alongside a $40 billion order backlog, suggests the demand driving this expansion is contractual rather than aspirational.

Capacity targets have been revised upward repeatedly — from over 3 gigawatts of contracted capacity expected by year-end in February, to over 4 gigawatts in May, to 5 gigawatts by August. Each upward revision raises the same question: is management simply too conservative in its initial planning, or is demand genuinely accelerating? The scale of contracts secured in parallel points firmly to the latter.

The Financing Tightrope

Sustaining this trajectory requires capital in volumes that most companies never touch. Nebius has raised a $5.75 billion convertible bond and converted existing notes with a face value of $800 million into roughly 15.8 million new shares. That dilution is material, and no amount of growth narrative can fully obscure it.

The market’s reaction has been telling nonetheless. The convertible offering closed last Monday, and the stock has since gained — though the two sources differ on the exact figure, with one citing 3.6% and the other 1.8%. Either way, investors appear to be weighing expansion potential more heavily than the dilution cost. That bet only pays off if revenue growth translates into capacity utilization and, eventually, profitability.

Should investors sell immediately? Or is it worth buying Nebius?

Adding to the dilution picture, CFO Maria Del Dado Alonso Sanchez recently sold 470 shares for approximately $92,120, trimming her direct stake by 3.71%. Two directors, Arne Grimme and Boynton John Wilson IV, received 1,352 restricted stock units each on September 1 under the revised equity compensation plan, vesting in January 2027. The insider sale is modest in scale, but it underscores how heavily the leadership team is compensated in equity — a structural factor that will keep adding to share count.

Construction Delays and the Correction They Triggered

About a month ago, D.A. Davidson cut its price target on Nebius from $250 to $175, citing construction delays at the Vineland data center. The stock has recovered 13.2% since that cut, suggesting the market has at least partially digested the concern. The warning retains its relevance, however: when a company expands as aggressively as Nebius, operational friction in building physical infrastructure is not a footnote but a structural risk that can genuinely threaten guidance.

The stock has also drawn support from a partner platform model introduced shortly after the Davidson note, which contributed nearly 10% to the share price within a month.

A Valuation That Demands Fortitude

At a market capitalization of €47.76 billion, Nebius shares recently traded around €180.88 — roughly 31% below the 52-week high of €261.00 reached in June, yet still 238% above the year’s low. Another source puts the current price at €184.20, about 29% below that high and 36% above the 200-day average of €135.30. With annualized volatility of 158%, this is not a stock for the faint-hearted.

The arithmetic is straightforward on both sides. A quarterly loss dramatically better than expected, paired with revenue more than quintupled, is a powerful operational signal. Capacity targets keep moving upward in an industry haunted by overcapacity fears. The flip side is an aggressive financing strategy through convertibles that will burden future shareholders with additional dilution, plus construction risk that remains unresolved.

The judgment call for investors comes down to whether operational momentum — real, contracted, and increasingly well-priced — can outrun the cost of the capital required to sustain it. For now, the growth side of that ledger carries more weight. But the balance sheet burden grows with every upward revision to capacity targets, and that is a risk that will not shrink on its own.
