Rock Tech Lithium Secures Mandate for Reverse Share Consolidation as Dual-Continent Strategy Intensifies

Shareholders of Rock Tech Lithium have handed the board broad authority to execute a reverse stock split, voting 98.54% in favour at the annual meeting on June 26. The resolution enables management to consolidate shares at ratios ranging from 2:1 to 15:1, with the final terms and timing left to the board and subject to approval from the TSX Venture Exchange.

The move comes as no surprise given the stock’s recent trajectory. Rock Tech’s shares currently trade at €0.50, down 12.68% over the past 30 days and sitting 36.90% below the 52-week high of €0.79 reached back in January. The relative strength index of 36.5 signals that the stock is approaching oversold territory, while the 50-day moving average of €0.57 is now 12.42% above the current price. Over the trailing twelve months, the equity has shed 21.02% of its value, though it remains up 5.53% year-to-date. With an annualised volatility of more than 41%, sharp swings in either direction remain a live possibility.

Just over 6.72 million shares were represented at the meeting, equivalent to roughly 5.60% of the total outstanding capital. Aside from the consolidation mandate, shareholders also reappointed MNP LLP as auditor and approved the existing stock-option plan with 98.89% support. The board slate was confirmed without opposition: Dirk Harbecke received 98.77% of votes cast, Michelle Gahagan 99.95%, and Dr. Beate Degen 99.93%.

Should investors sell immediately? Or is it worth buying Rock Tech Lithium?

While the capital-structure overhaul dominates the near-term narrative, Rock Tech continues to advance its two cornerstone projects. In Europe, the Guben converter in Germany — designated a strategic project under the EU’s Critical Raw Materials Act — is designed to produce 24,000 tonnes of lithium hydroxide monohydrate annually, though construction is still in the financing phase. Management has pegged the total build-out cost at roughly €750 million.

Across the Atlantic, the company is preparing the Red Rock converter in Ontario, targeting annual capacity of up to 32,000 tonnes of lithium carbonate equivalent. To reinforce that pipeline, Rock Tech recently secured an option to acquire 100% of the Victory project, a 9,875-hectare exploration property about 45 kilometres east of Kenora in northwestern Ontario. Surface samples at Victory have returned lithium oxide grades as high as 5.11% from spodumene-bearing pegmatites, a key feedstock for battery-grade lithium. The option is squarely aligned with the company’s “mine-to-converter” strategy of controlling its own raw-material supply.

The board now must decide on the exact consolidation ratio and when to implement it. Once that decision is made, the TSX Venture Exchange’s sign-off will be the final regulatory hurdle. Until then, the stock continues to trade at levels that sit uncomfortably below the ambition of a company positioning itself as a link between European lithium mining and the electric-vehicle battery boom.
